1. Parties and scope

These terms apply to all purchases made through store.semant.ai ("the Store"), operated by Semant Technologies OÜ (registry code 17186339, "we", "us"). "Customer" means anyone placing an order. A "consumer" is a natural person buying outside their trade or profession; a "business customer" is anyone else. Some rights below apply to consumers only, as marked. Estonian law governs these terms.

2. What we sell

Speaking engagements

A live or remote talk delivered by us on a date and in a format agreed with the Customer. This is a service tied to a specific date.

Merchandise

Physical items produced and shipped by third-party fulfilment partners (print-on-demand / drop-shipping). We remain your contracting party for these orders even though a partner produces and ships them.

3. Prices and VAT

All prices are shown in euros (EUR). For consumers, prices include Estonian VAT. For business customers in another EU member state who provide a valid VAT number, the reverse-charge mechanism may apply and VAT is not added by us. Any bank, currency-conversion, import or customs charges are the Customer's responsibility.

4. Orders and contract formation

A contract is formed when we confirm your order by email. We may decline an order (e.g. a speaking date is unavailable) and will refund any amount already paid.

5. Payment

Payments are processed securely by Revolut. We do not see or store your full card details. The accepted payment methods are shown at checkout. For speaking engagements, payment terms (e.g. deposit and balance) are stated on the product page or in our confirmation.

6. Delivery and performance

Speaking engagements:

Delivered on the agreed date and in the agreed format. Scheduling, rescheduling and any travel arrangements are confirmed in writing.

Merchandise:

Produced and dispatched by our fulfilment partner. Estimated production and delivery times and shipping costs are shown at checkout and may vary by destination. Risk of loss passes to the Customer on delivery.

7. Right of withdrawal — consumers only

A consumer generally has the right to withdraw from a distance contract within 14 days. Important exceptions that apply to this Store:

Speaking engagements

are services tied to a specific date and are therefore excluded from the statutory 14-day withdrawal right. Cancellation and rescheduling are instead governed by the booking terms on the product page (see §8).

Personalised or made-to-order merchandise

Items produced specifically for your order are excluded from the withdrawal right.

For other, non-personalised merchandise, the 14-day right applies. To withdraw, send a clear statement to [store@semant.ai] within 14 days of receiving the goods, then return them. We refund within 14 days of being notified; we may withhold the refund until the goods are returned. Return shipping is at the Customer's cost unless we state otherwise. Returns are handled in line with our fulfilment partner's process, which we will explain to you.

8. Booking terms for speaking engagements

All bookings must be bought from the web shop or, if invoiced, paid in full at least 7 days before the event. Cancellation more than 30 days before the event: 75% returned. Cancellation within 30 days: full fee due. One reschedule is possible at no charge if requested at least 14 days in advance, subject to availability.

9. Conformity and complaints — consumers

Consumers have a statutory right to goods and services that conform to the contract (in Estonia, a two-year period for goods). If something is wrong, contact [store@semant.ai] and we will put it right (repair, replacement or refund as appropriate).

10. Business customers

Statutory consumer protections — including the right of withdrawal and the consumer conformity regime — do not apply to business customers. Terms for business customers are as agreed in writing; otherwise these terms apply with the consumer-only clauses removed.

11. Liability

We are liable for direct damage caused by our intent or gross negligence. To the extent permitted by law, we are not liable for indirect or consequential loss. Nothing here limits liability that cannot be limited by law.

12. Dispute resolution

We aim to resolve complaints directly — please write to [store@semant.ai] first. A consumer who is not satisfied may contact the Estonian Consumer Protection and Technical Regulatory Authority (Tarbijakaitse ja Tehnilise Järelevalve Amet, ttja.ee) and its Consumer Disputes Committee. For cross-border purchases within the EU, the European Consumer Centres Network (ECC-Net) can help. (The EU Online Dispute Resolution platform was discontinued on 20 July 2025 and is no longer available.)
